1. Introduction

1.1 These Terms of Use ("API Terms") govern the access to and use of the Mudrex Futures Trading Application Programming Interface ("API") made available by RPFAS Technologies Private Limited ("Mudrex", "Company", "we", "us", or "our").

1.2 The API enables eligible users to programmatically interact with their Mudrex Futures trading accounts and perform various trading and account-related functions as permitted by the Company from time to time.

1.3 By accessing, integrating with, or using the API in any manner, you ("User", "you", or "your") expressly acknowledge that you have read, understood, and agree to be bound by:

  • these API Terms;
  • Mudrex's Platform Terms & Conditions;
  • Mudrex's Privacy Policy; and
  • any other policies, guidelines, or documentation issued by Mudrex from time to time.

1.4 In the event of any conflict between these API Terms and the Platform Terms & Conditions, these API Terms shall prevail to the extent of matters specifically relating to API usage.

1.5 If you do not agree to these API Terms, you must immediately cease use of the API.


2. Eligibility and Access

2.1 The API is available only to users who have successfully completed Know Your Customer ("KYC") verification in accordance with applicable laws and Mudrex's internal compliance policies.

2.2 Access to the API is provided through unique API credentials, including API keys, tokens, and/or other authentication mechanisms ("API Credentials"), which are generated and assigned by Mudrex at its sole discretion.

2.3 The Company reserves the right to approve, deny, suspend, or revoke API access at any time, without prior notice, including for reasons related to security, regulatory compliance, suspicious activity, or breach of these API Terms.

2.4 You shall be solely responsible for:

  • maintaining the confidentiality and security of your API Credentials;
  • all activities, instructions, and transactions executed using your API Credentials; and
  • ensuring that access to such credentials is restricted to authorized persons only.

2.5 Any use of the API through your credentials shall be deemed to have been authorized by you, and Mudrex shall not be liable for any unauthorized access or misuse arising due to your failure to secure your credentials.


3. Scope of API Services

3.1 Subject to these API Terms, Mudrex grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the API solely for your personal or internal business use in connection with your Mudrex Futures trading account.

3.2 The API enables programmatic access to certain functionalities of the Mudrex platform, including but not limited to:

  • placing, modifying, and cancelling market and limit orders;
  • managing open positions, including opening, closing, reversing, or partially reducing positions;
  • setting and modifying leverage levels;
  • transferring funds between spot and futures wallets;
  • accessing account balances, margin details, and liquidation prices;
  • retrieving order history, trade history, and transaction data;
  • setting or modifying stop-loss and take-profit instructions; and
  • any other features as may be introduced or modified by Mudrex from time to time.

3.3 The API currently supports only Futures trading functionality. Withdrawal of funds (whether fiat or digital assets) is not supported via the API and must be conducted through the Mudrex platform interface.

3.4 Mudrex reserves the right to:

  • modify, expand, limit, or discontinue any API functionality at its sole discretion;
  • impose usage limits, restrictions, or technical constraints; and
  • update API documentation and specifications without prior notice.

4. Intended Use

4.1 The API is designed and intended to facilitate:

  • algorithmic and programmatic trading;
  • automated trading strategies and execution systems;
  • integration with user-developed or third-party trading tools, applications, or platforms; and
  • other legitimate use cases related to trading on the Mudrex platform.

4.2 You acknowledge and agree that:

  • the API is a technical interface and does not constitute financial advice, investment advice, or trading recommendations;
  • Mudrex does not provide or endorse any trading strategies, algorithms, or investment decisions executed through the API;
  • all trading decisions, including the design, deployment, and execution of automated strategies, are made solely by you at your own risk.

4.3 You shall use the API strictly in compliance with:

  • applicable laws and regulations;
  • Mudrex's Platform Terms & Conditions; and
  • these API Terms.

4.4 Any use of the API for unlawful, fraudulent, manipulative, or abusive purposes is strictly prohibited and may result in immediate suspension or termination of access, without prejudice to any other rights or remedies available to Mudrex.


5. Algorithmic Trading Risk

5.1 You acknowledge that the use of the API for automated, algorithmic, or programmatic trading involves a high degree of financial and operational risk, including the potential for substantial or total loss of funds.

5.2 Without limiting the generality of the foregoing, you expressly acknowledge and agree that:

  • trading bots, scripts, or algorithms may contain errors, bugs, or flawed logic that can result in unintended or excessive trading activity;
  • system failures, latency issues, or disruptions in connectivity may lead to delayed, duplicated, or failed execution of orders;
  • market conditions, including volatility, liquidity constraints, and rapid price movements, may result in slippage, partial fills, or liquidation of positions;
  • automated strategies may execute trades at a speed and frequency beyond manual control, potentially amplifying losses; and
  • external factors, including exchange-level issues, network disruptions, or third-party failures, may adversely affect trading outcomes.

5.3 You further acknowledge that Mudrex has no visibility into, control over, or responsibility for the logic, parameters, or behavior of any algorithm, bot, or system deployed by you.

5.4 All trading decisions and actions executed via the API, whether automated or manual, are undertaken solely at your own risk. You assume full responsibility for all outcomes, including any financial losses, damages, or adverse consequences arising from such use.


6. User Responsibilities

6.1 You shall be solely responsible for the design, development, configuration, deployment, operation, and maintenance of any systems, applications, or strategies that interact with the API.

6.2 Without limiting the generality of the foregoing, you agree that you are responsible for:

  • thoroughly testing and validating your trading strategies, algorithms, and integrations prior to live deployment;
  • continuously monitoring the performance, behavior, and outputs of your API integrations and trading systems;
  • implementing appropriate safeguards, controls, and risk management measures, including limits on order size, frequency, and exposure;
  • ensuring that your use of the API complies with all applicable laws, regulations, and industry standards; and
  • promptly addressing any errors, malfunctions, or anomalies in your systems.

6.3 You acknowledge that Mudrex does not provide any sandbox, simulation, or testnet environment for the API. All API interactions are executed in a live trading environment, and you bear full responsibility for any consequences arising therefrom.

6.4 Mudrex shall not be liable for any losses, damages, or liabilities arising from your failure to adequately test, monitor, or manage your systems or trading strategies.


7. API Key Security

7.1 You shall be solely responsible for maintaining the confidentiality, integrity, and security of your API Credentials, including API keys, tokens, and any associated authentication mechanisms.

7.2 You agree to:

  • store API Credentials securely and in accordance with industry best practices;
  • restrict access to API Credentials to authorized personnel only;
  • not disclose, share, or otherwise make API Credentials available to any unauthorized third party; and
  • immediately revoke or regenerate API Credentials in the event of any actual or suspected compromise.

7.3 Any instructions, transactions, or activities carried out using your API Credentials shall be deemed to have been authorized by you, irrespective of whether such use was actually authorized.

7.4 Mudrex shall not be liable for any loss, damage, or unauthorized activity resulting from:

  • compromise, theft, or misuse of your API Credentials;
  • failure to implement adequate security controls; or
  • use of API Credentials by third parties, whether authorized or unauthorized.

8. Third-Party Integrations

8.1 You may choose to integrate the API with third-party software, applications, platforms, or trading bots ("Third-Party Services") at your sole discretion.

8.2 You acknowledge and agree that:

  • such Third-Party Services are not owned, operated, or controlled by Mudrex;
  • Mudrex does not endorse, verify, or guarantee the performance, reliability, or security of any Third-Party Services; and
  • your use of such Third-Party Services is entirely at your own risk.

8.3 Mudrex shall not be responsible or liable for:

  • any errors, malfunctions, or failures in Third-Party Services;
  • any financial losses arising from trades executed through or influenced by Third-Party Services;
  • any unauthorized access, data breaches, or misuse of your account resulting from integration with Third-Party Services; or
  • any incompatibility or integration issues between the API and such Third-Party Services.

8.4 You are solely responsible for conducting due diligence before integrating with any Third-Party Services and for ensuring that such integrations do not compromise the security or integrity of your account or the API.


9. Order Execution Disclaimer

9.1 You acknowledge that all orders placed through the API are subject to various external and internal factors, including but not limited to:

  • prevailing market conditions, including volatility and price fluctuations;
  • availability of liquidity in the relevant trading pairs or instruments;
  • matching engine and exchange processing constraints; and
  • system performance, network latency, and connectivity.

9.2 Mudrex does not guarantee, represent, or warrant:

  • that any order placed through the API will be executed in full or at all;
  • the timing of execution of any order;
  • the price at which any order will be executed; or
  • that orders will not be partially filled, delayed, or rejected.

9.3 You further acknowledge that:

  • slippage may occur between the expected price and the actual execution price;
  • stop-loss, take-profit, or conditional orders may not be triggered or executed at the intended levels due to market gaps or rapid price movements; and
  • orders may be cancelled, rejected, or fail due to insufficient margin, system errors, or other technical reasons.

9.4 Mudrex shall not be liable for any losses, damages, or missed opportunities arising from:

  • non-execution, delayed execution, or partial execution of orders;
  • price differences or slippage; or
  • any other execution-related issues.

10. API Availability ("As-Is" Basis)

10.1 The API is provided strictly on an "as is" and "as available" basis, without any warranties, express or implied.

10.2 To the maximum extent permitted by law, Mudrex disclaims all warranties, including but not limited to:

  • uninterrupted or continuous availability of the API;
  • error-free, secure, or reliable operation;
  • accuracy, completeness, or timeliness of data provided through the API; and
  • compatibility with your systems, software, or integrations.

10.3 The API may be subject to:

  • scheduled or unscheduled maintenance;
  • upgrades, patches, or modifications;
  • system outages, downtime, or interruptions; and
  • delays due to technical issues, infrastructure limitations, or external dependencies.

10.4 Mudrex shall not be liable for any losses, damages, or liabilities arising from:

  • API downtime or unavailability;
  • delays in response times or processing;
  • interruptions in connectivity; or
  • errors or inaccuracies in data or responses.

11. Rate Limits and Usage Restrictions

11.1 Use of the API is subject to rate limits, usage thresholds, and technical restrictions as may be prescribed by Mudrex from time to time.

11.2 You agree to comply with all applicable rate limits and not to exceed the permitted request frequency or usage levels.

11.3 In the event of excessive or abnormal usage, Mudrex reserves the right, at its sole discretion, to:

  • throttle or limit API requests;
  • temporarily suspend access to the API;
  • permanently revoke API access; or
  • take any other necessary action to protect system integrity and performance.

11.4 Mudrex shall not be liable for any losses, damages, or disruptions resulting from the enforcement of such limits or restrictions.


12. Prohibited Use

12.1 You agree not to use the API for any purpose that is unlawful, fraudulent, abusive, or in violation of these API Terms or applicable laws and regulations.

12.2 Without limiting the generality of the foregoing, you shall not:

  • use the API to engage in market manipulation, fraud, or any deceptive or illegal activity;
  • attempt to disrupt, interfere with, or compromise the integrity, performance, or security of the API or underlying systems;
  • overload the API with excessive requests or exploit vulnerabilities;
  • bypass, circumvent, or attempt to bypass any authentication, security, or access control mechanisms;
  • reverse engineer, decompile, or otherwise attempt to derive the source code or underlying structure of the API, except as permitted by law;
  • use the API in a manner that could harm Mudrex, its users, or its infrastructure.

12.3 Mudrex reserves the right, at its sole discretion and without prior notice, to:

  • monitor API usage for compliance purposes;
  • suspend, restrict, or terminate API access; and
  • take appropriate legal or regulatory action in case of violations.

12.4 Any violation of this clause may result in immediate termination of API access, without prejudice to any other rights or remedies available to Mudrex under law or contract.


13. Changes and Deprecation

13.1 Mudrex reserves the right, at its sole discretion, to modify, update, enhance, restrict, suspend, or discontinue any aspect of the API, including its features, functionalities, endpoints, protocols, or documentation, at any time and without prior notice.

13.2 Such changes may include, without limitation:

  • introduction of new features or functionalities;
  • modification of existing endpoints or parameters;
  • deprecation or removal of certain API versions or functionalities;
  • changes to authentication mechanisms or security protocols; and
  • updates to rate limits, usage policies, or technical specifications.

13.3 You are responsible for regularly reviewing the API documentation, changelogs, and any communications from Mudrex regarding updates or modifications to the API.

13.4 Continued access to or use of the API following any changes shall constitute your acceptance of such changes.

13.5 Mudrex shall not be liable for any losses, damages, costs, or disruptions arising from:

  • changes, updates, or discontinuation of the API;
  • incompatibility between the API and your systems or integrations; or
  • failure by you to adapt to such changes in a timely manner.

14. Limitation of Liability

14.1 To the maximum extent permitted under applicable law, Mudrex, its affiliates, directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

  • trading losses or loss of profits;
  • losses arising from automated or algorithmic trading strategies;
  • losses caused by system errors, bugs, or technical failures;
  • losses arising from API downtime, latency, or unavailability;
  • losses due to incorrect, delayed, or failed order execution;
  • losses resulting from integration failures or incompatibility; and
  • losses arising from errors in user-developed code, strategies, or configurations.

14.2 Without prejudice to the foregoing, Mudrex shall not be liable for any losses arising from events beyond its reasonable control, including but not limited to:

  • market volatility or disruptions;
  • failures of third-party service providers, exchanges, or infrastructure;
  • cyberattacks, hacking incidents, or security breaches;
  • force majeure events such as natural disasters, governmental actions, or network outages.

14.3 In all circumstances, and to the fullest extent permitted by law, the total aggregate liability of Mudrex arising out of or in connection with these API Terms or your use of the API, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to Mudrex in the twelve (12) months immediately preceding the event giving rise to the claim.

14.4 You acknowledge that the allocation of risk set forth in these API Terms is a fundamental element of the basis of the agreement between you and Mudrex, and that Mudrex would not provide access to the API without such limitations.


15. Indemnity

15.1 You agree to indemnify, defend, and hold harmless Mudrex, its affiliates, directors, officers, employees, and agents from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your access to or use of the API;
  • any trading activity conducted through your account, whether manually or via automated systems;
  • your use of any third-party integrations or services in connection with the API;
  • any breach of these API Terms or applicable laws and regulations; or
  • any negligence, misconduct, or wrongful act or omission on your part.

15.2 Mudrex reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate fully with Mudrex in asserting any available defenses.


16. Termination of Access

16.1 Mudrex may, at its sole discretion and without prior notice, suspend, restrict, or terminate your access to the API, in whole or in part, for any reason, including but not limited to:

  • breach or suspected breach of these API Terms;
  • security concerns, including suspected unauthorized access or compromise of API credentials;
  • abnormal, excessive, or suspicious usage patterns;
  • compliance with applicable laws, regulations, or regulatory directives; or
  • protection of Mudrex's systems, infrastructure, or other users.

16.2 Upon suspension or termination:

  • your right to access and use the API shall immediately cease;
  • Mudrex may revoke or disable your API credentials; and
  • any pending API requests may be cancelled or not processed.

16.3 You may discontinue use of the API at any time by ceasing all API activity and revoking your API credentials.

16.4 Termination of API access shall not affect any rights, obligations, or liabilities that have accrued prior to such termination, including but not limited to indemnity and limitation of liability provisions.


17. Governing Law and Jurisdiction

17.1 These API Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

17.2 Subject to applicable law, the courts located in Bengaluru, Karnataka, shall have exclusive jurisdiction over any disputes, claims, or proceedings arising out of or in connection with these API Terms or the use of the API.

17.3 You agree to submit to the exclusive jurisdiction of such courts and waive any objection to the venue or jurisdiction on grounds of inconvenience or otherwise.


18. Relationship with Platform Terms

These API Terms are supplemental to Mudrex's main Terms & Conditions. In case of conflict, these API Terms shall prevail with respect to API usage.


19. Acknowledgment

By using the API, you acknowledge that you:

  • Understand the risks of algorithmic trading
  • Accept full responsibility for your trading actions
  • Agree to these API Terms
